THE JOB:

It is the primary responsibility of the Associate Legal Counsel to perform, at the direction of a designated Legal Counsel and other senior department attorneys (as applicable), professional legal work related to assigned matters for MGM Resorts International and subsidiary organizations.

THE DAY-TO-DAY:

  • Supports M&A activity, including drafting and negotiating confidentiality agreements, coordinating due diligence efforts, and assisting in drafting and negotiating purchase and sale agreements and joint venture agreements

  • Drafts, negotiates and reviews a variety of domestic and international agreements relating to the Company’s development efforts, including consulting agreements, technical services agreements and management agreements

  • Assist on securities filings and provides support on corporate governance matters, including with respect to the annual meeting of stockholders.

  • Provide sound, well‐reasoned legal advice to the Company’s various groups

  • Develops and maintains strong business relationships among the various internal business groups requiring legal support

  • Demonstrate leadership and team‐working skills in support of a collaborative environment

  • Supervise paralegals and staff on work assignments

  • Exercises discretion and independent judgment commensurate with specialized legal skills and experience

THE IDEAL CANDIDATE:

  • Hold a Juris Doctor

  • 5+ Years of Prior Relevant Experience

    M&A/Corporate experience from a top law firm - Preferred

  • International transactions and business experience - Preferred

  • Experience in supervising and coordinating outside counsel and other advisors both nationally and internationally - Preferred

  • Experience with public corporations and corporate governance - Preferred

  • Willingness to travel domestically and internationally - Preferred

  • Previous experience working in a resort setting - Preferred
