THE JOB:
It is the primary responsibility of the Associate Legal Counsel to perform, at the direction of a designated Legal Counsel and other senior department attorneys (as applicable), professional legal work related to assigned matters for MGM Resorts International and subsidiary organizations.
THE DAY-TO-DAY:
Supports M&A activity, including drafting and negotiating confidentiality agreements, coordinating due diligence efforts, and assisting in drafting and negotiating purchase and sale agreements and joint venture agreements
Drafts, negotiates and reviews a variety of domestic and international agreements relating to the Company’s development efforts, including consulting agreements, technical services agreements and management agreements
Assist on securities filings and provides support on corporate governance matters, including with respect to the annual meeting of stockholders.
Provide sound, well‐reasoned legal advice to the Company’s various groups
Develops and maintains strong business relationships among the various internal business groups requiring legal support
Demonstrate leadership and team‐working skills in support of a collaborative environment
Supervise paralegals and staff on work assignments
Exercises discretion and independent judgment commensurate with specialized legal skills and experience
THE IDEAL CANDIDATE:
Hold a Juris Doctor
5+ Years of Prior Relevant Experience
M&A/Corporate experience from a top law firm - Preferred
International transactions and business experience - Preferred
Experience in supervising and coordinating outside counsel and other advisors both nationally and internationally - Preferred
Experience with public corporations and corporate governance - Preferred
Willingness to travel domestically and internationally - Preferred
Previous experience working in a resort setting - Preferred
